Reflecting the nature of the academy as a company, a charity and a school, the Directors of the Academy Trust are company directors, charity trustees and school governors, and we have legal duties under company law, charity law and education law. In practice, because governors have always had a duty to act in good faith and in the best interests of the school, the duties of directors and trustees are not that different to those they have as governors. 

We are a corporate body made up of eleven foundation directors appointed by the Provincial Superior of the Society of the Divine Saviour, two staff directors, elected by staff, a minimum of two and up to five elected parent directors, elected by parents, and the Head Teacher (ex officio). 

The Board of Directors at the Salvatorian College are responsible for the strategic development of the school, and has the following core functions:

1. Protecting and promoting the Catholic character and ethos of the school, and the Catholic nature of the education provided, as set out in our mission statement

2. Establishing clarity of vision and strategic direction, by:

  • Setting the vision, values, and objectives for the school
  • Agreeing the school improvement strategy with priorities and targets
  • Meeting statutory duties

3. Ensuring accountability, by:

  • Appointing the headteacher
  • Monitoring progress towards targets
  • Holding the headteacher to account for the educational performance of the school and its pupils
  • Performance managing the headteacher
  • Engaging with stakeholders
  • Contributing to school self-evaluation

4. Ensuring financial probity, by:

  • Setting the budget
  • Monitoring spending against the budget
  • Ensuring value for money is obtained
  • Ensuring risks to the organisation are managed

5. Fulfilling responsibilities as the employer of the staff

6. Acting as the Admissions Authority for the school, including setting the Admissions policy.

Exercise of functions

The Academy Trust is a charitable company limited by guarantee. Like all companies, the academy trust has a memorandum and articles of association. The memorandum sets out the names of the initial members of the academy trust and the articles are the rules that govern the running of the company. The terms upon which the academy trust is funded are set out in a Funding Agreement with the Secretary of State for Education.

The Directors of the Academy Trust meet at least once a term to conduct business. Many aspects of our strategic work and core functions are carried out by committees, which meet regularly throughout the year, or by lead directors who visit the School to focus on a particular area. The main committees are:

  1. Resources – dealing with finance and premises (Core Function 4)
  2. Human Resources – dealing with all staff aspects (Core Function 5)
  3. School Improvement – dealing with vision and ambition for the school, all curriculum matters, educational accountability (Core Functions 2 and 3)
  4. Pupil Welfare, Ethos and Admissions – dealing with the Catholic life of the school, all safeguarding and SEND aspects, behaviour and discipline and admissions (Core Functions 1 and 6)

In addition, there is a panel and working party:

  1. Headteacher’s Performance Review Panel (Core Function 3)
  2. New School Building Working Party.

Furthermore, there are Lead Directors for the areas of: Safeguarding, Health & Safety, SEND, Disadvantaged Pupils, and More Able Pupils.
